Exclusive Songwriter Term Contract (Sample) (1)

 

Agreement made this _____ day of 2019 by _____ and between (thereinafter referred to as the "Writer") and a New York corporation (hereinafter referred to as the "Publisher").

 

Witnesseth: 

(*witnesseth = body of the agreement) 

 

Whereas, the Writer is a composer of music and/or an author of lyrics of musical compositions and/or an arranger of music in the public domain, and

 

Whereas, the Publisher is a corporation which is engaged in the business of publishing, selling and exploiting songs, music and other like literary, dramatic and artistic property,

 

Now, Therefore, in consideration of the mutual covenants herein contained and other good and valuable consideration, it is agreed:

  1. The publisher agrees to pay the Writer during the term hereof ($     ) dollars per week as a nonreturnable advance and to be deducted from any and all royalties accruing to the Writer hereinunder, the first such payment to be made in _____, 2019.

 

2. The writer does hereby agree to and does hereby sell, assign and transfer to the Publisher all rights of whatsoever nature now known, or which may hereafter come into existence, in and to each and all musical compositions including title, words and music that Writer shall have invented, written, conceived, arranged, composed, created or originated heretofore or during the full terms hereof and any extensions, alone or in collaboration with others and the rights to secure copyright therein throughout the entire world in the name of the Publisher and all renewal and extension copytights thereof and all his right, title and interest, both legal equitable, in and to the same, and in and to every form and arrangement thereof, vocal or instrumental, it being understood and agreed that the said compositions and copyrights thereof and each and every right in said compositions, whether now known or hereafter to become known, covering the use or any manner or type of use of the said compositions, are and shall be the sole and exclusive property of the Publisher.

 

3. The publisher agrees to pay to the Writer or, upon his death, to the person or persons legally entitled thereto, during the period of copyright protection of the compositions, the royalties provided in Exhibit 1 annexed hereto.

The royalties provided therein shall be paid in instances where the Writer was the sole author and composer of the musical composition and, with regard to compositions where the Writer has a collaborator, the Writer shall be paid only such portion of said royalties were shared equally among all writers of such composition.
