Rider To Contract Dated: Roberta Flack (2)

 

Between: ______ (Hereinafter Called "Promoter") and Roberta Flack DBA Magic Lady (Hereinafter Called "Artist")

 

2. 

(D) If seating is reserved, all tickets must be numbered, and different priced tickets must be printed on a different colored stock. If seating is non-reserve, all tickets  must be numbered,  and different colored stock for tickets sold in advance and tickets sold on day of show or at box office. No tickets shall be priced at more than agreed upon price exclusive of tax without Artist's prior approval. The Artist's representative shall have the right to inspect ticket racks and all of the box office and other records with respect to such receipts, including but not limited to unsold tickets, and stubs of tickets sold for the purpose of verifying the statements. Artist's representative will, upon request, be admitted to the box office at all times during the sale of tickets for the engagement(s) hereunder 

 

(E) Promoter warrants that tickets for the engagement will be scaled as follows:

(F) Promoter shall not cause the commencement of printing of tickets until authorization in writing has been received from Artist.

 

(G) If scale of price shall be varied in any respect, the percentage of compensation payable to Artist shall be based upon whichever of the following is more favorable to the Artist: the scale of prices as set forth above; or the actual scale of prices in effect for the engagement.

 

(H) Promoter agrees to distribute no more than one percent (1%) of the official house seating capacity as complimentary tickets relative to this performance, including tickets distributed to the press and other media. Promoter must supply Artist's representative with a statement detailing to whom each complimentary ticket was given. Each complimentary ticket will only be issued as a fully punched ticket. Promoter must provide Artist's representative with up to twenty-five (25) complimentary tickets for indoor shows, and up to (50) complimentary tickets for outdoor shows, the unused portion of which may be placed on sale the day of performance with the permission of Artist's representative. These tickets may be asked for at any time by Artist's representative.

 

 

3.

(A) Financial terms and conditions of this contract have been agreed upon based on exact capacity, ticket price and potential gross as stated on the face of this contract. If gross receipts for engagements hereunder shall exeed the stated potential gross, Artist shall be entitled to one hundred percent (100%) of the difference between stated and actual potential gross.

 

(B) With respect to counterfeit tickets, Promoter is liable for any and all counterfeit tickets, and under no circumstanecs should Artist assume a loss on these tickets.

 

 

4.

If before the date of the engagement contracted for herein, it is found that the Promoter had not  fully performed his or her material obligations under any other agreements with any other party,  or that financial credit of the Promoter has been seriously impaired, Artist may require that Promoter immediately pay in full all guaranteed amounts, regardless of the fact that a deposit has already been paid, or that a deposit was waived. If Promoter fails for any reason to make such payment in full within eighteen (18) days after such written request has been made by Artist, then such failure shall be considered an anticipatory breach of the entire contract and Artist may immediately sue for the balance of the fee. In the event Promoter does not perform fully his obligation then Artist shall have the option to perform or refuse to perform. Hereunder the Promoter shall be liable to Artist for damages in addition to compensation provided herein.

 

 

5.

Promoter shall furnish the following at its sole cost and expenses:

 

(A) All necessary permits, licenses and authorizations from any and all government agencies, bureaus and departments - Federal, State, or Local.

 

(B) Any and all necessary immigration clearances and work permits if concert is to be performed outside the United States.
